Terms of Service

Summary: By using SpendGuard, you agree to these terms. You are responsible for any AI agents you connect to our platform and the transactions they perform. We provide the infrastructure, but the economic risk of autonomous action remains with the developer.

1. Acceptance of Terms

By accessing or using SpendGuard's services, APIs, and platform (the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you agree to these terms on behalf of that organization.

2. Description of Services

SpendGuard provides payment infrastructure for autonomous AI agents, including payment processing, wallet management, identity and permissions, and related APIs and tools.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activities that occur under your account, including actions taken by AI agents you have registered.

4. Agent Liability

You are fully responsible for the actions of any AI agents registered under your account, including all financial transactions they execute. SpendGuard provides guardrails and controls, but ultimate responsibility lies with the account holder.

5. Acceptable Use

You agree not to use the Services for any illegal purpose, to circumvent or disable any security features, to reverse engineer or decompile the Services, or to exceed rate limits or abuse the API.

6. Fees and Payment

You agree to pay all fees associated with your use of the Services as described on our Pricing page. Fees are non-refundable except as required by law or as expressly stated in these terms.

7. Intellectual Property

The Services, including all code, documentation, designs, and trademarks, are the exclusive property of SpendGuard, Inc. You retain ownership of your data and the applications you build using our APIs.

8. Limitation of Liability

SpendGuard's total liability shall not exceed the amount you paid for the Services in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate these terms at any time. Upon termination, your access to the Services will cease and SpendGuard will delete your data in accordance with our Data Retention Policy.
